BY-LAWS
ARTICLE I – NAME
The name of this organization shall be the Lakeview High School Performing Arts Boosters of Battle Creek, Michigan, hereinafter called the LPAB.
ARTICLE II – PURPOSE
To provide support to the directors and students of all Lakeview High School Choral and Theater programs, promoting these programs among the general public and fostering an interest in music and theater. This includes, but is not limited to the Spartanaires, Chamber Choir, Cantabile, Concert Choir, and any LHS Theater productions. The organization is organized exclusively for charitable and educational purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
ARTICLE III – MEMBERSHIP
Section I – REGULAR MEMBERSHIP
Membership shall consist of a parent(s) or legal guardian(s) representing a student(s) in a Lakeview High School Choral or Theater Program.
Directors of the vocal music groups and/or theater groups listed in Article II are ex-officio members of this organization and are an integral part of the ongoing planning process. They are encouraged to attend regular meetings of the LPAB and Board of Directors.
Section II – SUSTAINING MEMBERSHIP
Individuals, families and businesses shall become sustaining members upon payment of a monetary or in-kind contribution. Sustaining membership shall entitle the individual or organization to participate as a non-voting member at any LPAB parent meeting, and participate in any activity sponsored by the LPAB. Sustaining members any also serve on the Board of Directors as ex-officio, non-voting members.
ARTICLE IV – MEETING OF THE MEMBERSHIP
The Board of Directors, at its earliest meeting each school year, shall establish standard rules and operating procedures for all proceedings that will be conducted by the Lakeview Performing Arts Boosters during the school year.
Section I – MONTHLY MEETING
Meetings of the LPAB will be held at least once a month during the school year (September – May) unless notification is made otherwise. Written notice of the meeting shall be provided to voting members.
Section II – VOTING
Each member present shall be entitled to one (1) vote.
Section III – QUORUM
The voting members appearing in person at any properly noticed meeting, shall constitute a quorum for the transaction of business at any meetings of the membership.
Section IV – SPECIAL MEETINGS
Special meetings may be called by any officer as needed.
ARTICLE V – EXECUTIVE BOARD
Section I – NUMBER
The Executive Board shall consist of four (4) officers to include President, Vice President, Treasurer, and Secretary. The Executive Board is designated to represent the organization in decision making on behalf of the LPAB. Within the parameters of the overall approved budget, the Executive Board has the authority to make expenditure decisions on behalf of the LPAB.
Section II - DUTIES
President – shall preside at all meetings and serve as the chief officer of the LPAB. The President will appoint committees and chairpersons as required to handle the business of the LPAB for that school year.
Vice President – shall assume the duties of the President or Secretary in his/her absence. The Vice President will be responsible for monitoring all committees for compliance to the guidelines established by the Board of Directors or the membership.
Secretary – shall keep minutes of all LPAB and Board of Directors meetings. LPAB Meeting minutes shall be published and distributed to the membership. The Board of Directors minutes shall be published and distributed to the Board of Directors. The Secretary shall maintain an up-to-date membership list including mail and e-mail addresses and phone numbers.
Treasurer – shall be responsible for all financial transactions of the LPAB. The Treasurer will give regular, complete and accurate accounts of all financial transactions to the members at each LPAB meeting.
The Executive Board shall have the responsibility of securing an independent audit upon request and a vote of 2/3 of the membership present at any general membership meeting.
Section III – TERM
The term of office shall be one (1) year with no term limit and will start immediately after the meeting at which they were elected. Newly elected officers shall be voting members with the existing Board of Directors from the time of election until after the May meeting.
Section IV – NOMINATION OF OFFICERS
Candidates for executive board offices will be nominated at the March LPAB Meeting by the membership. Members may also nominate candidates by notifying the Nominations Chairperson in writing within the 30 days before the March LPAB meeting. The Nominations Chairperson will be appointed by the LPAB President from the outgoing senior parent group.
Section V – ELECTION OF OFFICERS
Officers shall be elected at the April LPAB meeting. Anyone who cannot attend the meeting may request a ballot in advance from the Secretary. These ballots must be returned to the Secretary prior to the election.
ARTICLE VI – TRUSTEES
Section I – NUMBER
There will be up to five (5) elected Trustees who serve on the Board of Directors for a term of one (1) year. Trustees will participate as voting members of the Board of Directors for a term of one (1) year.
Section II – DUTIES
The Trustees will advise the officers and help to establish recommendations concerning the business of the LPAB.
Section II – TERM
The term of office will end following the May LPAB meeting.
Section IV – NOMINATION OF TRUSTEES
Candidates for Trustee positions will be nominated at the April LPAB Meeting by the membership. Members may also nominate candidates by notifying the incoming Secretary in writing within the 15 days before the April LPAB meeting. Should a Board position become vacant during the term year, the Board of Directors may nominate and vote on his/her replacement at the monthly meeting.
Section V – ELECTION OF TRUSTEES
Trustees shall be elected at the May LPAB meeting. Anyone who cannot attend the meeting may request a ballot in advance from the Secretary. These ballots must be returned to the Secretary prior to the election.
ARTICLE VII – BOARD OF DIRECTORS
Section I – MEMBERS
The Board of Directors of the LPAB consists of the Executive Board and elected Trustees. No two (2) individuals from the same family may serve on the Board of Directors in the same term, unless there are insufficient candidates nominated by the membership to fill all Board positions. In such instance, no two (2) members from the same family may serve on the Executive Board, but spouses may fill a trustee position.
Section II – MEETINGS
The Board of Directors of the LPAB will meet once a month during the school year (September – May). The Executive Board members are not allowed to miss more than two unexcused meetings. Trustees will be allowed no more than three excused absences. Notifying the president will be necessary when missing a meeting. If an Executive Board member or Trustee shall violate this provision, they will be removed from their position, and a replacement will be selected by a vote of the remaining Board members.
ARTICLE VIII – FISCAL MATTERS
Section I – STUDENT FEES
Fees may be assessed for specific programs such as Spartanaires. The members shall be informed of the expected annual fee of the program, not later than one month prior to the beginning of the school year, or within two (2) weeks of becoming part of the group, whichever is later.
The Board of Directors shall determine the necessary student fees. Failure to arrange for student fee payment by December 15th will prevent the student from participating in any LPAB show choir travel or competitions until such arrangements are made. Fees may be adjusted as required during the school year with the approval of the membership.
Section II – NEED BASED SCHOLARSHIPS
Need-based Scholarships for fees shall be made available to any qualifying student. Care is to be taken to maintain confidentiality for all who participate. Need for a scholarship is based on the discretion of the Treasurer, President and Choir Director. In order to receive consideration for a scholarship, applications must be submitted to the Treasurer by December 1st of each year.
Section III – TRACKING OF INDIVIDUAL ACCOUNTS
Every student shall have the opportunity to raise funds for his or her fee. These funds shall be credited to their account. If a student has excess funds in his or her account at the end of the performance year, they will be automatically rolled over to any family member for the next year, or a refund check may be requested by a parent or guardian before May 1st. Any funds remaining that cannot be rolled over to a family member, or that have not been requested as a refund will be transferred to the general fund.
Section IV – REFUNDS
Refunds of fees during the year will be evaluated on an individual basis by the Board of Directors. Refunds will not include those funds raised through fundraising activities.
Refund requests prior to September 1st 100% of funds paid into account.*
Refund requests prior to October 1st 75% of funds paid into account.*
Refund requests prior to November 1st 50% of funds paid into account.*
Refund requests prior to December 1st 25% of funds paid into account.*
*Refunds will not be made for costumes after the order has been placed. Costumes are made to measure for each member of the Spartanaires singer/dancers and band member and cannot be returned. Refunds referred to in Section IV do not apply to year-end balance refunds described in Section III.
Section V – GENERAL FUND RAISING
Any funds raised by the membership as a group effort shall be placed in the general operating fund. All students are expected to participate in all LPAB sponsored fund raising activities. Any scholarship student(s) and parent(s) are required to participate in all LPAB sponsored fund raising activities. If a student and parent does not participate, the scholarship offer will be rescinded and the balance of the fees will be immediately due.
ARTICLE IX – DISSOLUTION
In the event of the dissolution of this organization, any remaining funds shall be transferred to the internal Lakeview High School Vocal Music account.
ARTICLE X – AMENDMENTS
These by-laws may be amended by an affirmative vote of 2/3rds of the membership present at any general meeting, provided that written notice of such proposed changes shall have been sent to the general membership.
